B2B Terms of Sale

Provisional commercial terms for professional customers. Final terms must match the company’s actual order, payment and logistics processes.

Scope and professional status

These terms are intended to govern sales made exclusively to professional customers acting for business purposes. Consumer sales are outside the intended scope of this website.

Offers and orders

Website content is informational and is not a binding offer. A transaction becomes binding only after written confirmation of the exact product reference, quantity, price, delivery terms and any required payment or credit conditions.

Pricing and payment

Prices, currency, taxes, delivery charges, payment schedule and banking instructions must be stated in the accepted quotation or order confirmation. Late-payment interest, recovery charges and ownership-retention language must be completed in accordance with French B2B requirements.

Delivery and transfer of risk

Delivery method, Incoterm where applicable, destination, estimated timing, inspection procedure and transfer of risk must be defined in the order confirmation. Delivery dates are binding only when expressly identified as such.

Conformity and warranty

The customer must inspect goods promptly and notify any visible shortage, damage or non-conformity within the contractual period. Manufacturer warranties and any seller warranty apply only under the conditions confirmed for the relevant product and territory.

Liability

Any limitation of liability must be proportionate, enforceable under French law and set out in the final contract. Nothing in these terms should exclude liability where exclusion is prohibited by law.

Force majeure

Neither party should be liable for delay or failure caused by an event meeting the applicable French-law requirements for force majeure, subject to prompt notice and reasonable mitigation.

Governing law and jurisdiction

French law is intended to govern. The competent court and any required pre-litigation procedure must be completed by French counsel, taking account of the company’s registered office and the negotiated B2B contract.
